OfficeSpace Zoom App Terms of Service

The OfficeSpace Zoom App Terms of Service establish a legal agreement between users (or their represented entities) and OfficeSpace Software Inc., requiring users to have authority to bind their organization, use the service for workplace management via supported browsers, provide accurate registration information, and acknowledge that failure to comply may result in termination of access.

These Terms of Service ("Terms") are between you or the entity that you represent ("you" or "your") and OfficeSpace Software Inc. ("OfficeSpace") governing your use of the OfficeSpace applications (the "Service").

Acceptance of Terms

If you are accepting on behalf of your employer or another entity, you represent and warrant that:

  1. 1.You have full legal authority to bind your employer or such entity to these Terms.
  2. 2.You have read and understand these Terms.
  3. 3.You agree to these Terms on behalf of the party that you represent.

If you do not have the legal authority to bind your employer or the applicable entity, do not use the Service or click “I agree” (or similar button or checkbox). If you sign up for the Service using an email address from your employer or another entity, then:

  • You will be deemed to represent such party.
  • Your click to accept will bind your employer or that entity to these Terms.
  • The word “you” in these Terms will refer to your employer or that entity.

Description of the Service

You may use the Service for workplace management purposes. You may connect to the Service using any Internet browser supported by Zoom. You are responsible for obtaining access to the Internet and the equipment necessary to use the Service.

Member Registration Obligations

To access or use the Service, you need to sign up for a user account by providing all required information. You agree to:

  • Provide true, accurate, current, and complete information about yourself as prompted by the sign up process.
  • Maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete.

If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if OfficeSpace has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, OfficeSpace may terminate your user account and refuse current or future use of any or all of the Service.

Modification of Terms

OfficeSpace may modify the Terms upon notice to you at any time. Notice of any such modification will be provided by electronic mail or by publishing the changes on the OfficeSpace Software website. The notice will include the effective date of the modification. You may terminate your use of the Service if the Terms are modified in a manner that substantially affects your rights. Your continued use of the Service after notice of any change to the Terms is deemed to be your agreement to the amended Terms.

Personal Information and Privacy

Personal information you provide to OfficeSpace through the Service is governed by the OfficeSpace Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the OfficeSpace Privacy Policy. You are responsible for maintaining confidentiality of your username, password, and other sensitive information. You are responsible for all activities that occur in your user account and agree to inform OfficeSpace immediately of any unauthorized use of your user account by email. OfficeSpace is not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

Communications from OfficeSpace

The Service may include certain communications from OfficeSpace, such as service announcements, administrative messages, and newsletters. These communications are part of using the Service. While you will not be able to opt-out from receiving service announcements and administrative messages, you may opt-out from receiving newsletters and other marketing messages.

Usage Restrictions

Your usage of the Services is subject to the limits described in the agreement between you and the entity you represent and must be within such limits to avail uninterrupted service. OfficeSpace may restrict an activity if you reach the usage limit corresponding to such activity.

In addition to all other terms and conditions in these Terms, you must not:

  1. 1.Transfer or otherwise make the Service available to any third party.
  2. 2.Use the links to third party sites without agreeing to their website terms & conditions.
  3. 3.Post links to third party sites or use their logo, company name, etc. without their prior written permission.
  4. 4.Use the Service for spamming and other illegal purposes.
  5. 5.Reverse engineer, disassemble, decompile, translate or otherwise seek to obtain or derive the source code, underlying ideas, algorithms, file formats or non-public APIs to any Service, except to the extent expressly permitted by applicable law (and then only upon advance notice to OfficeSpace).
  6. 6.Remove or obscure any proprietary or other notices contained in the Service.
  7. 7.Use the Service for competitive analysis or to build competitive products.
  8. 8.Publicly disseminate information regarding the performance of the Service.
  9. 9.Encourage or assist any third party to do any of the foregoing.

Data Ownership

You own the content created or stored by you. Unless specifically permitted by you, your use of the Service does not grant OfficeSpace the license to use, reproduce, adapt, modify, publish, or distribute the content created by you or stored in your user account for OfficeSpace’s commercial, marketing, or any similar purpose. You grant OfficeSpace permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content of your user account solely as required for the purpose of providing the Service to you.

Data Compliance

Use of the Service must comply at all times with these Terms, the Acceptable Use Policy, and all applicable laws.

No Prohibited Sensitive Personal Information

You will not submit to the Service (or use the Service to collect) any Sensitive Personal Information. OfficeSpace has no liability under these Terms for Sensitive Personal Information submitted in violation of the foregoing. “Sensitive Personal Information” means any:

  1. 1.Special categories of personal data enumerated in European Union Regulation 2016/679, Article 9(1) or any successor legislation.
  2. 2.Patient, medical, or other protected health information regulated by HIPAA.
  3. 3.Credit, debit, or other payment card data subject to PCI DSS.
  4. 4.Other personal information subject to regulation or protection under specific laws such as the Gramm-Leach-Bliley Act (or related rules or regulations).
  5. 5.Social security numbers, driver’s license numbers, or other government ID numbers.
  6. 6.Any data similar to the foregoing that is protected under foreign or domestic laws or regulations.

Disclaimer of Warranties

You expressly understand and agree that the use of the Service is at your sole risk. The Service is provided on an as-is and as-available basis. OfficeSpace expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. OfficeSpace makes no warranty that the Service will be uninterrupted or timely. No advice or information, whether written or oral, obtained by you from OfficeSpace, its employees, or representatives shall create any warranty not expressly stated in the Terms.

Limitation of Liability

You agree that OfficeSpace shall, in no event, be liable for any consequential, incidental, indirect, special, punitive, or other loss or damage whatsoever or for loss of business profits, business interruption, computer failure, loss of business information, or other loss arising out of or caused by your use of or inability to use the Service, even if OfficeSpace has been advised of the possibility of such damage. In no event shall OfficeSpace’s entire liability to you in respect of any Service, whether direct or indirect, exceed the fees paid by you for such Service.

Suspension and Termination of User Account

OfficeSpace may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity, or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made within thirty (30) days of being notified about the suspension. OfficeSpace may terminate a suspended or disabled user account after thirty (30) days. OfficeSpace will also terminate your user account on your request.

Subscription to Beta Service

From time to time, OfficeSpace may offer certain services as closed or open beta services ("Beta Service") for the purpose of testing and evaluation. The Beta Service may contain bugs, errors, and other problems and you agree and acknowledge that OfficeSpace makes no representation or warranty of any kind with respect to the Beta Service. OfficeSpace has the sole authority and discretion to determine the period of time for testing and evaluation of Beta Service. OfficeSpace will be the sole judge of the success of such testing and the decision, if any, to offer the Beta Service as commercial services. You will be under no obligation to acquire a subscription to use any paid Service as a result of your subscription to any Beta Service. OfficeSpace reserves the right to fully or partially discontinue, at any time and from time to time, temporarily or permanently, any of the Beta Service with or without notice to you. You agree that OfficeSpace will not be liable to you or to any third party for any harm related to, arising out of, or caused by the modification, suspension, or discontinuance of any of the Beta Service for any reason.
